THIS AGREEMENT CONTAINS BINDING CLASS ACTION AND JURY TRIAL WAIVER CLAUSES IN SECTION 11 BELOW THAT ARE APPLICABLE TO YOU AND US.

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between Voob AI Voice Agent ("Voob," "we," "our," or "us") and the person or entity accessing or using the website https://voob.ai ("Site") and related services (collectively, the "Services"). The Services are owned and operated by Voob.ai - by Enoratech Innovation LLP , a limited liability partnership registered in India. Your use of the Site and Services is conditioned on your acceptance, without modification, of these Terms, including the Voob AI Privacy Policy, which may be updated from time to time.

If you are accessing or using the Site or Services on behalf of your organization, you represent and warrant that you have the authority to accept these Terms on its behalf. By signing up, accessing, or using the Site or Services, you acknowledge your acceptance of this Agreement and consent to be bound by its terms and conditions. Violations of these Terms may result in suspension or termination of your access to the Services and may subject you to legal liability.

Do not use the Site or Services if you do not agree to these Terms or if your local laws do not permit their enforcement. Persons under the age of 13 are not authorized to use the Site.

◉ Our Services

  • Cloud Service: Voob AI Voice Agent is a Site that enables You to build call‑operation AI Agents. Our service includes a versatile API for anyone building an AI for voice interactions, number provisioning, call handling, and a dashboard for customization and integration, such as customer service, outbound sales calls, information gathering, and surveys.
  • Professional Services: Beyond the standard technical support, Voob AI Voice Agent offers customized professional services which include personalized consultations, advanced implementation assistance, optimization strategies, and more, tailored to Your specific needs.

◉ Payment Terms

  • Payment: Services are charged on a monthly basis ("Subscription Period"). You authorize AI Voice Agent to charge and/or place a hold on Your credit card with respect to any unpaid charges related to the Services.
  • Subscription: If You wish to cancel the Service, You must delete Your workspace or remove all subscription‑based items before the end of the current Subscription Period.
  • Automatic Payment: You authorize Voob AI Voice Agent to charge Your credit card at the end of the month and to continue to attempt to charge all sums described herein.
  • Late Payment Fee: If automatic payment fails, a 14-day due date invoice will be issued with a 7-day grace period. Late payments may incur fees up to 10% of past-due amounts.
  • Service Changes: Voob AI Voice Agent may change rates at any time by posting changes at the pricing page.

◉ Acceptable Use Policy

  • You agree not to use the Services in ways that violate laws, infringe the rights of others, or interfere with other users.
  • You must comply with all telemarketing regulations including TCPA, TSR, DNC registry requirements, and disclosure of AI voice use.
  • You shall not use our Services for fraudulent activities or misuse rights of publicity.
  • You must maintain proper documentation of consumer consent for calls and regularly scrub against Do-Not-Call lists.

◉ Indemnification

    You agree to indemnify, defend, and hold harmless Voob AI Voice Agent, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses relating to or arising out of Your use of or inability to use the Site or Services, Your violation of any terms of this Agreement, or Your violation of any applicable laws.

◉ Warranty Disclaimer

    The Services provided hereunder are provided "AS IS" and "AS AVAILABLE" and Voob AI Voice Agent makes no warranties, express or implied. Voob AI Voice Agent makes no representations or warranties that the Services will meet Customer's requirements, that the Services will be uninterrupted, timely, secure, and error-free, or that any defects in the Services will be corrected.

◉ Limitation of Liability

    Voob AI Voice Agent will not be liable for any indirect, incidental, special, consequential, or exemplary damages. Our aggregate liability under these Terms will not exceed the greater of the amount You paid for the Service that gave rise to the claim during the 12 months before the liability arose or one hundred dollars ($100).

◉ Intellectual Property Rights

  • All rights, title, and interests in the Service, Site, and any content contained herein are the exclusive property of Voob AI Voice Agent.
  • You retain ownership of any content You submit, but grant Voob AI Voice Agent a worldwide license to use such content.
  • Voob AI Voice Agent or its licensors retain ownership of the underlying AI models and algorithms.
  • If You provide feedback, You grant Voob AI Voice Agent a perpetual license to use such feedback.

◉ Call Recording and Third-Party Vendors

    If You do not opt-out of recording, You give Voob AI Voice Agent permission to record calls made using the Service and process communication data for offering AI-powered analytics and development of artificial intelligence models.

◉ DMCA Policy

    Voob AI Voice Agent respects intellectual property rights and will respond to notices of alleged copyright infringement that comply with applicable law.

◉ Modifications to Terms

    Voob AI Voice Agent reserves the right to modify these Terms at any time. Updated versions will be posted on the Website and are effective immediately. Your continued use constitutes acceptance of the new Terms.

◉ Dispute Resolution

  • Pre-Trial Resolution: You must first give Us an opportunity to resolve Your claim by sending a written description.
  • Class Action Waiver: We each agree that any proceedings will be conducted only on an individual basis.
  • Jury Trial Waiver: You and We waive any constitutional and statutory rights to a jury trial.
  • Governing Law: This Agreement is governed by the laws of India.
  • Jurisdiction: Exclusive jurisdiction for disputes is in the courts of Ahmedabad, Gujarat, India.

◉ Severability

    If any provision is found unenforceable, it shall be limited to the minimum extent necessary with the Terms remaining in full force.

◉ Assignment

    You may not transfer or assign this Agreement without our prior written consent. We may transfer or assign this Agreement without notice.

◉ Force Majeure

    Neither party shall be liable for defaults or delays arising from causes beyond their reasonable control.
